Terms & conditions of supply of website rental (lease) services

By placing an order with gWeb, you confirm that you agree to the following terms and conditions.

Definitions:
The Client : The company or individual using the services of gWeb.
gWeb Internet Designs : hereafter referred to as gWeb
gWeb: The designer

 

For the purposes of this document, the terms "rent" and "lease" are considered interchangeable, both herein implying the agreement to provide service, physical or intellectual property, etc, in relation to gWeb's service in exchange for regular payment that is not a purchase agreement.

An 'order' is deemed to be a written or verbal contract between gWeb and the client, this includes telephone and email agreements.

A non-refundable deposit / set-up fee may be required with any project before any services will be carried out.

In consideration for an agreed sum gWeb will supply and maintain a bespoke website for the client, subject to our terms and conditions, on a rental basis for the sole purpose of promoting the clients and / or client's business.

The client is expected to pay an initial agreed set-up fee and thereafter pay an agreed sum each month, for a minimum period of twelve months, for as long as the website service is required.

If the client fails to pay any amount when due then, without prejudice to any other rights and remedies, gWeb reserve the right to cease provision of services without incurring any liability.

gWeb exclusively owns those websites that are under Rental agreement, along with the domain name and any sub-pages / sub-sites it may contain.

The client may not assign, transfer, sell, sub-contract or otherwise part with the services provided by gWeb to a third party.

All intellectual property rights created by gWeb in the execution of our services are the exclusive property of gWeb, including any and all copyrightable materials, textual content written, artwork, graphics, images, website templates, videos, logos, coding, etc. Put simply, if gWeb designed, created and provided it as part of our rental services, it is the sole property of gWeb.

The intellectual property rights of the client's materials will remain theirs, including an textual content, designs, images, videos, they provide or upload, except where these have been editted or reworked by gWeb, whereupon those revised materials become the property of gWeb.

gWeb reserves the right to terminate a contract upon 30 days written notice.

 

Rental Cancellation

The client has benefit of a cooling off period and have the right to cancel the contract within 7 days of set-up fee payment.

The client may cancel the agreement providing:

• a minimum of twelve monthly payments have been made
• a minimum of 30 days written notice prior to cancellation has been made.

The client is responsible for cancellation of any standing orders / direct debits / automated payments for which gWeb is the beneficiary. Please ensure you notify your bank / credit cards immediately upon cancellation of service. Any overpayment after cancellation are the responsibility of the client to recover through their bank. If requested to assist, gWeb will charge a standard administration fee of £25 per item for investigation and correction of such wrongly made payments.

Upon cancellation of contract, gWeb reserves the right to provide services in respect of the website to any third party without restriction.

 

Rental General

Rented sites are the exclusive property of gWeb. Persons paying monthly rental payments are acting in accordance with the above terms and conditions.

 

Website Purchase

The client may request to purchase the website and or domain name at any time in order to attain full intellectual property. This will be subject to separate negotiation.

 

gWeb may revise these terms at any time without notification.
